Terms of Service

These Terms of Service ("Terms") are an agreement between you and HealthCubed, a product of Moreland Accord ("HealthCubed," "we," or "us"). By creating an account or using the HealthCubed app or website (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

HealthCubed is a wellness and informational tool. Its scores, insights, trends, and assistant responses are for general informational purposes only and are not medical advice, diagnosis, or treatment. They are not a substitute for the judgment of a qualified healthcare professional.

Always seek the advice of your physician or another qualified provider with any questions about your health, and never disregard professional advice or delay seeking it because of something you read or saw in the Service. Do not use the Service for emergencies; in an emergency, call your local emergency number. You are solely responsible for decisions you make about your health.

You must be at least 16 years old to use the Service. You are responsible for keeping your account credentials secure and for activity under your account. Tell us promptly if you suspect unauthorized use. The information you provide must be accurate and kept up to date.

Much of HealthCubed is free, including your daily score, logging by hand, your journal, and your daily insight. HealthCubed Pro is an optional, auto-renewing monthly subscription that adds more. Safety features, such as crisis resources, and the controls over your account and your data are never part of Pro.

HealthCubed Pro currently includes:

• Conversations with your coach, the in-app assistant.
• Goal plans built around you, and reworked plans when your week changes.
• Logging a meal from a photo, a nutrition label, your voice, or a typed description.
• Logging a workout from a photo of a gym machine's console.
• Patterns, which looks for connections in your own data.
• Your year in review.
• Automatic calendar import, which counts finished meetings with other people toward Connection.
• Trend analysis, which explains what shifted in a chart or a measure when you ask about it.

What Pro includes may change over time as we add, improve, or retire features.

Price and free trial. HealthCubed Pro costs $9.99 a month in the United States, or the local price shown in the App Store before you buy. New subscribers who are eligible can start with a 14 day free trial. The price, the length of any trial, and what you will be charged are shown in the app and in Apple's purchase sheet before you confirm.

Payment and renewal. Payment is charged to your Apple ID account when you confirm the purchase or, if you start with a free trial, when the trial ends. Your subscription renews automatically each month unless auto-renew is turned off at least 24 hours before the end of the current period, including the trial. Your account is charged for renewal, at the monthly price, within 24 hours before the end of the current period.

Managing and canceling. You can manage your subscription and turn off auto-renew at any time in your Apple ID account settings: on your iPhone, open Settings, tap your name, then tap Subscriptions. The Manage subscription button in the app opens the same place. Canceling stops the next renewal, and you keep Pro until the end of the period that has already started. Any unused portion of a free trial is forfeited when you purchase a subscription.

Closing your account does not cancel your subscription. Deleting the app, signing out, or closing your HealthCubed account does not cancel HealthCubed Pro. Apple keeps billing your Apple ID until you cancel the subscription in Settings, so cancel it first if you no longer want it.

Refunds. Apple sells and bills HealthCubed Pro, and we never receive your card number or billing address. Refunds are handled by Apple under its own policies, and you can request one at reportaproblem.apple.com. If Apple refunds a purchase, the Pro access it paid for ends.

Pro at no charge. We may also give an account Pro access for a limited time at no charge, such as a one time welcome period. That access comes from us, not from Apple. It is not a subscription: nothing is charged for it, it does not renew, and it is separate from Apple's free trial.

Apple's terms. Because HealthCubed Pro is bought through the App Store, Apple's terms for App Store purchases also apply to it, and Apple's standard Licensed Application End User License Agreement (apple.com/legal/internet-services/itunes/dev/stdeula) applies to your use of the app alongside these Terms.

You agree not to misuse the Service. In particular, you will not:

• Break the law or infringe anyone's rights while using the Service.
• Attempt to access accounts, data, or systems that are not yours.
• Interfere with, disrupt, probe, or overload the Service or its infrastructure.
• Reverse engineer, scrape, or copy the Service except as the law expressly permits.
• Use the Service to build a competing product or to resell it without our permission.

You keep ownership of the content you create in the Service, such as journal entries, logs, and messages. You grant us a limited license to store, process, and display that content solely to operate the Service for you, as described in our Privacy Policy. You are responsible for the content you provide and confirm you have the right to provide it.

The Service, including its software, design, models, and brand, is owned by us and our licensors and is protected by law. We grant you a personal, limited, non-transferable, revocable license to use the Service for your own personal, non-commercial use, subject to these Terms. All rights not expressly granted are reserved.

The Service works with third parties, such as Apple Health and the infrastructure and AI providers described in our Privacy Policy. Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any score, insight, or result will be accurate or suitable for any purpose. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

To the fullest extent permitted by law, HealthCubed and Moreland Accord, and our affiliates, officers, employees, and agents, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, goodwill, or health outcomes, arising out of or relating to your use of, or inability to use, the Service, even if we were advised of the possibility. To the fullest extent permitted by law, our total liability for all claims relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim or one hundred U.S. dollars. Some jurisdictions do not allow these limits, so they may not fully apply to you.

You agree to indemnify and hold harmless HealthCubed and Moreland Accord from claims, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Service or your violation of these Terms or of applicable law.

You may stop using the Service and delete your account at any time. Closing your account does not cancel a HealthCubed Pro subscription, which you cancel with Apple as described above. We may suspend or end your access if you violate these Terms or if we need to for legal, security, or operational reasons. Sections that by their nature should survive termination will survive.

We may change the Service or these Terms over time. When we make material changes to the Terms, we will update the effective date above and, where appropriate, notify you. Your continued use after a change means you accept the updated Terms.

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The courts located in Texas will have jurisdiction over disputes, except where mandatory local law provides otherwise.
